Terms of Service

1. The Service

Simflex.Marketing is an AI-assisted marketing platform: it plans campaigns, drafts content, schedules and publishes posts to Facebook, Instagram and TikTok, runs ads and reports performance. Growth Team plans add our marketers and media team, working with you on the platform.

2. Accounts

• You must be 18 or older and authorised to act for the business you register.
• You must provide accurate information and keep your sign-in details secure; you are responsible for all activity under your account.
• Tell us promptly if you suspect unauthorised access to your account.

3. Plans, trial and payment

• Prices and plan contents are published on our website or in a quote sent to you.
• The AI Marketing Platform includes a free trial; when it ends, you choose a paid plan to keep using it.
• Fees are paid in advance for the agreed billing period. Unless the law or a separate agreement says otherwise, fees paid are non-refundable.
• Ad budgets are paid by you directly to Meta or TikTok and are not part of our service fees.

4. Your content

• You keep ownership of the content you upload or create in the app. You allow us to store, process and publish it at your request, solely to provide the Service.
• You are responsible for content you approve for publishing, and you confirm you hold the rights to the images, music, trademarks and information in it.
• Photos and videos produced for you by the Growth Team are yours to use once the corresponding period is paid in full.

5. Third-party platforms

• When you connect Facebook, Instagram or TikTok, you allow the app to perform the actions you authorised. You must follow each platform's terms, community standards and advertising policies.
• These platforms are run by third parties. We are not responsible when a platform changes its API, limits features, removes content, rejects ads or restricts your account.

6. AI-generated content

Plans and drafts produced by AI may be inaccurate or unsuitable. You must review and approve them before publishing; we do not guarantee any particular business result from content or ads.

7. Acceptable use

You may not use the Service to:

• Publish content that breaks Vietnamese law, is fraudulent or misleading, or infringes others' intellectual property or privacy.
• Send spam, manipulate engagement, or breach Meta or TikTok policies.
• Access, probe, disrupt or copy our systems without authorisation.

8. Intellectual property

The software, interface, Simflex.Marketing brand and Service materials belong to us. You may use the Service while your plan is active, and may not copy, resell or exploit it beyond that.

9. Suspension and termination

• You can stop using the Service and ask us to close your account at any time.
• We may suspend or terminate accounts that breach these terms, with notice where reasonable.
• When an account is closed, its data is handled as described in our Privacy Policy.

10. Limitation of liability

The Service is provided as is. To the extent permitted by law, we are not liable for indirect damages or lost profits, and our total liability will not exceed the fees you paid in the 3 months before the claim arose.

11. Governing law

These terms are governed by the laws of Vietnam. Disputes will first be resolved by negotiation; failing that, by the competent court in Ho Chi Minh City.

12. Changes to these terms

When we change these terms, we update the date at the top of the page and announce material changes by email or in the app. Continuing to use the Service afterwards means you accept the new terms.
